    Jenny Wang is a partner at Merits & Tree. Prior to joining Merits & Tree, Jenny Wang has worked at Beijing Jingwei Law Firm and a couple of outstanding international law firms such as Reed Smith LLP and Dewey Ballantine LLP for several years. She has extensive experience on M&A and Cross-border Transactions, Banking and Finance, and Dispute Resolution.

     

    Jenny Wang has advised and represented clients in a wide range of industries, including construction, manufacturing, new-material application, banking, software design, entertainment, media, gaming, hotel, medical device, sports and food industry. She has deep understanding for various industries and is able to provide high quality legal service to clients according to the nature of their respective industries.

    M&A and Cross-border Transactions
    • Represented Nanshan Capital in its domestic and overseas investments to TMT enterprises, including Megatronix, Alauda, More Fun, Fun Factory, Booming Technology, Mini World, and Ace Playing.
    • Advised Gaorong Capital on its investment in Shanghai Zunpai Communication Technology Co., Ltd. and a privatization transaction.
    • Represented CDB Industrial Investment Fund in its outbound investment to HyalRoute Communication Group Limited, whose main business is construction, operation and maintenance of fiber optic networks in Southeast Asia.
    • Represented Terex Corporation, a US-listed machinery manufacturer regarding restructuring of its joint ventures in China.
    • Advised Grahope New Material Technology Inc., a high-tech company that focuses on new material applications, on its investments/acquisition of upstream and downstream enterprises as well as its multiple rounds of equity financing.
    • Advised Publicis Groupe, a leading European media group, on its China operations, including dispute resolution, labor, general corporate issues.
    • Advise Nicklaus Company LLC, a US company specializing in the construction and management of high-end golf clubs and peripheral products, on its joint venture projects in China, general corporate matters and IP management and protection issues.
    • Advised Restaurant Brands International US Services LLC, a US company that manages and operates a number of fast food chains (including Burger King, Tim Hortons, etc.) on their business operations in China.
    • Advised ClinChain on its first round equity financing invested by Shengsheng Medical and its establishment and implementation of ESOP.
    • Advised BTG Property in dealing with its Paris subsidiary's minority shareholding in an overseas hotel management company and its participation in overseas fund investment and hotel renovation projects.
    Banking and Finance
    • Provided legal services to China CITIC Bank on its participation in the export buyer's credit syndicated loan project for Karachi Electric Power Corporation.
    • Provided legal services to China CITIC Bank on its overseas M&A loan financing project for Hainan Mining Co., Ltd.
    • Provided legal services to China CITIC Bank on its overseas M&A syndicated loan financing project for Tianqi Lithium Co. Ltd.
    • Provided legal services to China CITIC Bank on its overseas M&A syndicated loan project for Belle International.
    • Provided legal services to China CITIC Bank on the review of certain agreements involved in the establishment of its London branch.
    • Provided legal services to China CITIC Bank on issuing several guarantees for the South Africa power station project of Shandong Electric Power Construction Third Engineering Co., Ltd.
    • Collaborated with U.S. attorneys to provide legal advice on the compliance issues under U.S. law for China CITIC Bank's participation in a cross-border syndicated loan.
    • Provided legal services to China CITIC Bank on its participation in the cross-border syndicated loan project for the M&A loan to Kingsoft (Hong Kong) International Mining Co., Ltd.
    • Provided legal services to China CITIC Bank on its participation in the cross-border syndicated loan project for the loan to Grand Baoxin Auto Group Limited.
    • Provided legal services to China CITIC Bank on the equity transfer matter of CITIC International Investment Holdings Co., Ltd.
    Dispute resolution
    • Represented a large multinational enterprise engaged in the production and sales of safety equipment on a CIETAC arbitration related to equity dispute in China
    • Acted for a US medical device manufacturer in providing legal service regarding its product liability litigation in China.
    • Acted for an international hotel chain management company in handling various dispute cases in China.
